Appointment of Management Board members

Pursuant to §5 (1) (22) of the Regulation of the Minister of Finances of 19 October 2009 on current and periodic information provided by issuers of securities, the Management Board of EMC Instytut Medyczny S.A. announces that since the current Management Board term expired on November 17, 2014 and so did the mandates of the current Management Board members, pursuant to Art. 369 § 3 and 4 of the Code of Commercial Companies and the provisions of the Supervisory Board Bylaws, four members of the Management Board were appointed for a new joint five-year term of office.

The term of office of the Management Board of EMC Instytut Medyczny SA shall begin after the Ordinary Meeting of Shareholders that approves the financial report for the fiscal year 2014, i.e. on April 1,2015.

The following persons have been appointed Management Board members of EMC Instytut Medyczny S.A. :

• Mrs. Agnieszka Szpara as the President of the Management Board of EMC Instytut Medyczny S.A.
• Mr. Tomasz Suchowierski as a member of the Management Board of EMC Instytut Medyczny S.A.
• Mrs. Bożena Gołębiowska as a member of the Management Board of EMC Instytut Medyczny S.A.
• Mr. Ireneusz Pikulicki as a member of the Management Board of EMC Instytut Medyczny S.A.

Mrs. Agnieszka Szpara does not conduct any business activities competitive to the Company and is not engaged as partner in any competitive partnership nor as member of a governing body in any other competitive company or legal entity. She has not been entered into the Register of Insolvent Debtors under National Court Register Act.

Mr. Tomasz Suchowierski does not conduct any business activities competitive to the Company neither is she engaged as partner in any competitive partnership or as member of a governing body in any other competitive company or legal entity. He has not been entered into the Register of Insolvent Debtors under National Court Register Act.

Mrs. Bożena Gołębiowska does not conduct any business activities competitive to the Company neither is she engaged as partner in any competitive partnership or as member of a governing body in any other competitive company or legal entity. She has not been entered into the Register of Insolvent Debtors under National Court Register Act.

Mr. Ireneusz Pikulicki is a partner in TRIOMED with its registered office in Lublin. TRIOMED does not conduct any business activities competitive to the Company. Neither is he engaged as partner in any competitive partnership or as member of a governing body in any other competitive company or legal entity. He has not been entered into the Register of Insolvent Debtors under National Court Register Act.
