Decreasing the share in votes below the 5% threshold of the total number of votes

On the basis of a notification received from Towarzystwo Funduszy Inwestycyjnych Powszechnego Zakładu Ubezpieczeń S.A. (TFI PZU) on 10 September 2012, the Management Board of EMC Instytut Medyczny S.A. informs about the decrease in the total involvement below 5% of the total number of votes at the General Meeting of EMC Instytut Medyczny S.A.

In the notification submitted pursuant to Art. 69(1)(1) of the Act as of 29 July 2005 on Public Offer and the Conditions for Introducing Financial Instruments to the Organized Trading System and on Public Companies, PZU informed that the involvement of TFI PZU has fallen below the threshold of 5% of the total number of votes due to the settlement of selling 110,292 shares of EMC Instytut Medyczny S.A. carried out on 5 September 2012, the share of TFI PZU Funds in the total number of votes at the General Meeting of the Company.

The number of shares and votes held before the change in the share was 547,421. The percentage share in the initial capital was 6.57%, while the share in the total number of votes at the General Meeting of Shareholders was 5.57%. The number of shares and votes held after the change in the share amounts to 437,129. The percentage share in the initial capital is 5.25%, while the share in the total number of votes is 4.45%.

The Company wishes to inform that the percentage change is the result of the increase in the share capital of the Company through the issue of Series G shares which the Issuer announced in the current report No 72/2012 dated 08.03.2012. Pursuant to the agreement for the management of investment portfolios of TFI PZU Funds with PZU Asset Management SA, the latter - as the manager may, on behalf of the TFI PZU Funds, exercise their voting rights at General Meetings.

The Issuer informed about previous involvement of the PZU Group in the Company's shares in its current reports nos. 24/2005 of 08.08.2005, 83/2007 of 11.12.2007, 60/2009 of 28.07.2009, 65/2009 of 14.08.2009, 67/2009 of 18.08.2009, 84/2012 of 29.08.2012 and 85/2012 of 30.08.2012.
