The Purchase of Shares of EMC Instytut Medyczny S.A.
The Management Board of EMC Instytut Medyczny S.A. with its registered office in Wrocław ( “the Company”)hereby announces that in compliance with the obligation to provide information pursuant to Art. 69 and 77 (7) of the Act of 29 July 2005 on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading, and on Public Companies (uniform text. Journal of Laws of 2009 No. 185, item. 1439, as amended.) 26 July 2013 a notification was received from CareUp B. V. ("CareUp") and Soporto Invest B. V. ("Soporto") informing that on 25 July 2013 in connection with the purchase of shares within the Tender Offer for the sale of shares of EMC of 28 May 2013, pursuant to Art. 74 (1) and Art. 91 (6) thereof, Careup directly and indirectly through Soporto jointly hold 5,696,510 shares of the Company that carry 7,196,548 voting rights which constitute 68.41% of the share capital of the Company and 73.23% of the total number of votes at the General Meeting of Shareholders of the Company.
CareUp is a subsidiary of Svet Zdravia Holdings Limited (formerly Obona Trading Limited) with its registered office in Nicosia, Cyprus, controlled by the Penta Investments Limited, with its registered office in St Helier, Jersey, which is incorporated into Penta Capital Group, controlled by Penta Investment Group Limited, a company established under the laws of Jersey, with its registered office at 17 the Esplanade, JE23QA St. Helier, Jersey.
Apart from Soporto, no other subsidiary of CareUp or a member of the said Penta capital group holds shares of the Company.
CareUp intends to increase the share in the total number of votes of the Company up to 100%, either directly or indirectly, within the next 12 months.
No third party is entitled to exercise the voting rights attached to the purchased shares under the agreement with CareUp.
