The Purchase of Shares of EMC Instytut Medyczny S.A.

The Management Board of EMC Instytut Medyczny S.A. with its registered office in Wrocław ( “the Company”)hereby announces that in compliance with the obligation to provide information in accordance to Art. 69 and in connection with Art. 69(a) of the Act of 29 July 2005 on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading, and on Public Companies (uniform text. Journal of Laws of 2009 No. 185, item. 1439, as amended.) a notification was received from Care Up B.V. with its registered office in Amsterdam, the Netherlands, registered at the Trade Register of the Chamber of Commerce of Amsterdam under file number 37143600 ("CareUp")informing that Care Up indirectly exceeded the 20% threshold of votes at the General Meeting of the Company following the purchase of 100% of the share capital of Soporto Invest B.V. with its registered office in Amsterdam, the Netherlands, Strawinskylaan 1223, 1077XX, Amsterdam, the Netherlands, registered at the Trade Register of the Chamber of Commerce of Amsterdam under file number 578008597 that directly holds 1,215,779 (one million two hundred and fifteen thousand seven hundred and seventy-nine) shares that constitute 14.6% of the share capital of the Company and carry 2,013,522 voting rights at the Meeting of Shareholders of the Company, which represents 20.49% of the total number of votes at the General Meeting of Shareholders of the Company.

 

CareUp is a subsidiary of Svet Zdravia Holdings Limited (formerly Obon Trading Limited) with its registered office in Nicosia, Cyprus, controlled by the Penta Investments Limited, with its registered office in St Helier, Jersey, which is incorporated into Penta Capital Group, controlled by Penta Investment Group Limited, a company established under the laws of Jersey, with its registered office at 17 the Esplanade, JE23QA St Helier, Jersey.

Prior to the Purchase, CareUp held no shares of the Company, either directly or indirectly.

 

Following the transaction, CareUp , trough Soporto, indirectly holds 1,215,779 (one million two hundred and fifteen thousand seven hundred and seventy-nine) shares that constitute 14.6% of the share capital of the Company and carry 2,013,522 voting rights at the Meeting of Shareholders of the Company, which represents 20.49% of the total number of votes at the General Meeting of Shareholders of the Company.


CareUp intends to increase the share in the total number of votes of the Company up to 100%, either directly or indirectly, within the next 12 months.

Apart from Soporto, no other subsidiary of CareUp or a member of the said Penta capital group

holds shares of the Company.

No third party is entitled to exercise the voting rights attached to the purchased shares under the agreement with CareUp.
