Report no. 36/2013

Pursuant to § 5(1)(3) of the Regulation of the Council of Ministers of 19 February 2009 on current and periodic information provided by issuers of securities and conditions of deeming information required by the regulations of a non-member country equal, the Management Board of EMC Instytut Medyczny SA informs about  concluding, on 19 April 2013,  a loan contract with Bank Gospodarki Żywnościowej SA with its registered office in Warsaw  (the Bank).

 

the Company informed about the contracts concluded with Bank Gospodarki Żywnościowej SA in its current reports nos. 85/2008 of 15 October 2008, 35/2009 of 20 April 2009, 40/2012 of 20 March 2012  and 106/2012 of 31 October 2012.

 

The Bank’s total engagement , allowing for the value of newly signed contracts, is PLN  16,912,500.00.

The new investment credit agreement in the amount of PLN 912,500.00 is a separate agreement with the Bank with a variable interest rate at the level of WIBOR 3M + 2.5 pp margin per annum with a repayment period of four years until  not later than 19 April  2017.
 

The amount of the  loan will be used for real estate purchase in Kowary. Once redeveloped, the premise will be intended for expansion of a Care and Treatment Centre.
 

The total real estate price is  PLN 1,142,500.00, PLN 912,50.000 of which shall be financed using the above-mentioned loan, and the remaining sum shall be covered by the Company from  its own resources.
 

The repayment collaterals include:

joint mortgage amounting to 1,368,750.00 on properties located in:

o   Wrocław at 144-146, Pilczycka St.,

o   Kowary at 14 Jeleniogórska St.,

assignment of rights from insurance policy of the said real estate, 

a power of attorney to a current account of the borrower in the Bank,

a blank promissory note.

A criterion for a contract to be considered significant is the value of the object of the contracts amounting to at least 10% of the value of the equity capital of EMC Instytut Medyczny SA.
