Conclusion of the Promised Agreement for Purchase of Shares of Regionalne Centrum Zdrowia sp. z o.o in Lubin

Pursuant to §5 (1) (3) of the Regulation of the Minister of Finances of 19 February 2009 on current and periodic information provided by issuers of securities, the Management Board of EMC Instytut Medyczny S.A. reports that on 11 February 2014 the Promised Agreement was signed for Sale of shares of the Regional Health Centre limited liability company in Lubin.

The Issuer informed about concluding the Preliminary Agreement for Sale of shares of the RHC Ltd. in its current report no 117/2013 of 23.12.2013 as well as signing an annex to the said Agreement in its current report no 21/2014 of 31.01.2014. Signing the Promised Agreement was subject to obtaining a consent from the President of the OCCP for the concentration that involves taking over by the Issuer the Regional Health Centre limited liability company in Lubin.

Given that on 6 February 2014, following the antitrust proceedings initiated at the request of the Issuer, the company received the decision of the President of the OCCP, in which the President of the Office granted its consent to the concentration that involves taking over by the Issuer the Regional Health Centre limited liability company based in Lubin, the Promised Sale Agreement was signed on 11 February this year.

The material terms of the contract, which the Issuer informed about with regard to the said reports, remain unchanged.

A criterion for a contract to be considered significant: the value of contracts exceeds 10% of the Issuer’s equity capital.
