Amendment to a significant contract with Bank Polska Kasa Opieki S.A.

Pursuant to §5 (1) (3) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities, the Management Board of EMC Instytut Medyczny S.A. informs about signing on 17 December  2014 an annex to the loan contract  ( loan agreement) with Bank Polska Kasa Opieki S.A. with its registered seat in Warsaw(the Bank).

The Issuer informed about the previous  loan contracts concluded with the  Bank in its current reports nos. 38/2006 of  16.10.2006, 62/2009 of 30.07.2009, 16/2011 of 25.01.2011, 6/2012 of 24.01.2012, 7/2013 of 22.01.2013, 9/2014 of  22.01.2014 and  30/2014 of  17.02.2014. The annex that concerned a current account overdraft facility agreement, was the basis upon which the following material terms of the agreement have been changed: 1. The  loan repayment deadline has been postponed until  February  30.09.2015. 2. A new repayment collateral has been fixed: second real estate mortgage in the amount of 150% of the loan along with the assignment of rights under  the insurance contract of the said property created on the property located in Ząbkowice Śląskie at. 5 Bolesława Chrobrego St. , plot 7/11, 7/12, that has been entered into the Land and Mortgage Register, entry no SW1Z/00046474/8, for repayment of interests and other loan costs. 3.

The interest rate on the loan will be calculated on the basis of floating interest rate  based on  the reference rate WIBOR  1 M for each day. If WIBOR base rate drops below 0 (zero), and until the base rate  has reached a positive value, the interest rate will be calculated based on WIBOR base rate equal 0 (zero) plus the Bank margin. 4. The interest rate has been change. On the day of signing the annex the Bank's margin is 2.05 pp per annum while the interest rate is 4.13% per annum. 5.

The Issuer is obliged to pay the commitment fee of 0.25% per annum. The other material terms of the loan contract  and contractual penalties remain unchanged. A criterion for a contract to be considered significant is the value of contracts exceeds 10% of the  equity capital of EMC Instytut Medyczny SA.
