An amendment to the preliminary agreement for the sale of shares in "Zdrowie" sp. z o.o. based in Kwidzyn

EMC Instytut Medyczny S.A. (hereinafter: "the Company") on May 31, 2013, in the current report no. 53/2013, informed about the conclusion of a preliminary agreement for the sale of shares and the use of shares in "Zdrowie" sp. z o.o. based in Kwidzyn ("Agreement"). Under this Agreement, the Company agreed to buy back the shares of the company "Zdrowie" sp. Z o.o.[ Health Ltd.]: 6,030 shares from the City of Kwidzyń, 361 shares from Przedsiębiorstwo Energetyki Cieplnej "PEC" sp. Z o.o. [‘PEC’ Heating Company Ltd.], 147 shares from Przedsiębiorstwo Wodociągowo-Kanalizacyjne Kwidzyn sp. Z o.o. [Kwidzyń Water and Sewerage Company Ltd.], with a value of PLN 231.63 per 1 share, determined by way of negotiations, with a total value of PLN 1,514,397.

The Management Board of the Company announces that on May 27, 2020, an Annex to the Agreement ("Annex") was concluded, pursuant to which the Company (the Buyer) and the City of Kwidzyń, Przedsiębiorstwo Energetyki Cieplnej "PEC" sp. Z oo, Przedsiębiorstwo Wodociągowo-Kanalizacyjne Kwidzyn sp. z o. o (The Sellers) decided to reschedule the final contract for the repurchase of shares of "Zdrowie" sp. Z o.o. as of June 1, 2021.

According to the Management Board of the Company, this information constitutes confidential information within the meaning of Art. 7 of the MAR Regulation, concerning the Company, which, if made public, could affect the price of its financial instruments.
