Appointing a Supervisory Board Member

The Management Board of EMC Instytut Medyczny SA (hereinafter referred to as ‘the Issuer’, ‘the Company’) announces that Karol Piasecki has been appointed as a Member of the Supervisory Board of EMC Instytut Medyczny SA and nominated to serve as the President of the  Management Board by the Supervisory Board Meeting that was held on 14 June 2019.

In accordance with the submitted statement, other than within the Company, Karol Piasecki does not conduct any business activity competitive to Issuer.  He is not a partner in any competitive business, such as civil or private partnership or limited partnership nor is he involved in any other competitive legal entity by acting as a member of its governing body. Karol Piasecki, in accordance with the submitted statement, has not been entered into the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

As the President of the Issuer's Management Board, Karol Piasecki will be responsible for preparing the vision and development strategy, promotion and marketing, sales of medical services, human assets development, HR and payroll management, IT management, legal service organization, Project Management Offices (PMO).

Karol Piasecki (born in 1972) graduated from law at the University of Bialystok. For over 14 years he has been managing companies in the health care market. He specializes in building a long-term development strategy, company restructuring, integration processes and change management.

Between 2008 and 2010, he restructured DOZ S.A., Poland’s largest pharmacy chain. The transformation was dictated by the owner's decision to divide his assets into a wholesale and retail division. In almost three years, the company's structure was built from scratch by integrating several independently operating companies. As a result, the largest network of over 2,000 facilities was created in Central and Eastern Europe, both partner and franchise ones. In 2008, Karol Piasecki and his team implemented the first e-commerce platform on the pharmacy market based on the click & collect model. Currently, doz.pl online pharmacy is the largest and the most modern Polish health portal.

Between 2011 and 2019, Karol Piasecki served as the Managing Director of Dr. Max, increasing the company's sales more than ten times as well as creating one of the largest pharmacy chains in the country. After the recovery plan had been carried out, the pharmacy network went on to expand dynamically on the Polish market and in 2014-2018 the number of facilities increased by over 500. In 2019, as determined by Forbes, Dr. Max was ranked 5th among the most valuable brands in health care and at the same time it was recognized the most valuable pharmacy brand in Poland.
