The Management Board of EMC Instytut Medyczny S.A. based in Wrocław (hereinafter "the Issuer" or "the Company") informs that the Company has signed a non – disclosure agreement (NDA) between the Company and Penta Investments Limited based in Jersey (hereinafter "Penta").

Under the concluded agreement, the Issuer will provide Penta with information and documents related to the Company, including those related to its financial and economic situation. The purpose of the concluded NDA agreement is to provide Penta with the data necessary to familiarize the potential investor with the current activities of the Issuer and its current economic situation, as well as to conduct due diligence of the Issuer in the context of the possibility of making an investment decision.

At the same time, the Issuer informs that the conclusion of the NDA agreement is only a preparatory stage aimed at conducting negotiations that may lead to a change in the Issuer's shareholding structure.

NDA guarantees the security of the Issuer's data, and Penta undertook to keep confidential the information and documents provided by the Company. The parties have also agreed to undertake all necessary measures to ensure that the disclosure of information in connection with the performance of the NDA complies with applicable law.

Moreover, the Issuer will provide up-to-date information on ongoing negotiations, which will have an impact on its further operations.
